These Terms of Use govern your use of the DigiVort website and the DigiVort client portal (together, the "Services"). By using the Services, you agree to these terms. If you do not agree, please do not use them.

These terms are not a project contract

These terms cover use of our website and client portal only. Any design, development, hosting, support or other project work we carry out is governed by a separate signed agreement, statement of work or accepted quote. If there is a conflict between these terms and a signed agreement, the signed agreement applies to the project work.

Using our website

You may browse our website and use its content for your own information and for evaluating our services. You agree not to:

  • Use the website in a way that breaks any law or infringes anyone's rights
  • Attempt to gain unauthorized access to our systems, or probe, scan or test their vulnerability without our written permission
  • Interfere with the website's operation, including by sending excessive automated requests
  • Submit false information, malicious files or spam through our forms
  • Copy, scrape or republish substantial parts of the website without permission

Client portal accounts

Access to the client portal is by invitation, for clients and their authorized team members. If you have a portal account:

  • Keep your login details confidential and use a strong, unique password
  • You are responsible for activity under your account; tell us promptly at hello@digivort.com if you suspect unauthorized use
  • Account holders at a client organization are responsible for who they invite and for removing access when it is no longer needed
  • We may suspend or close accounts that are misused, compromised or no longer connected to an active engagement

Approvals, messages and files submitted through the portal may be relied on by us as instructions from the client, as described in the relevant project agreement.

Files and content you submit

You keep ownership of the content and files you send us through forms or the portal. You confirm that you have the right to share them and that they do not infringe anyone's rights or contain malicious code. You give us permission to store, copy and use them as needed to respond to you and deliver the services you have requested. Our handling of personal information in these files is described in our Privacy Policy.

Our intellectual property

The website's design, text, graphics, logos and software, and the client portal itself, belong to DigiVort or our licensors and are protected by copyright and trademark laws. Nothing in these terms gives you ownership of them. Ownership of code and deliverables created for a client project is set out in that project's signed agreement.

Information on the website

We work to keep the website accurate, but its content, including descriptions of services, process and typical timelines or prices, is general information and not a binding offer. A quote or agreement we provide in writing is what applies to any project.

The website may link to third-party sites or use third-party services. We are not responsible for their content, availability or privacy practices, and a link does not mean we endorse them.

Availability

We aim to keep the website and portal available and secure, but we do not guarantee that they will be uninterrupted or error-free. We may change, suspend or discontinue any part of them, including for maintenance or security reasons. Service levels for hosting or support are only those set out in a signed agreement.

Disclaimer

To the extent permitted by law, the website and portal are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement.

Limitation of liability

To the extent permitted by law, DigiVort will not be liable for any indirect, incidental, special or consequential loss, or for loss of profits, data or business, arising from your use of the website or portal. Nothing in these terms limits liability that cannot be limited by law. Liability relating to project work is governed by the relevant signed agreement.

Indemnity

You agree to compensate DigiVort for reasonable losses and costs arising from your breach of these terms or your misuse of the Services, to the extent permitted by law.

Governing law

For users dealing with our British Columbia office, these terms are governed by the laws of British Columbia and the federal laws of Canada that apply there. For users dealing with our Dubai office, they are governed by the laws of the Emirate of Dubai and the federal laws of the UAE. A signed project agreement may specify a different governing law for that project.

Changes to these terms

We may update these terms from time to time. The date at the top shows when they were last changed. Continuing to use the Services after an update means you accept the revised terms.
